Owner dependency. Whether the owner is the relationship, the decision-maker and the commercial engine simultaneously — and what value leaves when they do.
Operational visibility & reporting quality. Whether the business can demonstrate its performance clearly — through systems, reporting and management depth — or whether it relies on the owner to hold it together.
Most of the valuation discount that founders receive in diligence was preventable. These are the areas where value is most consistently lost — and where founder advisory creates the most leverage.
Margins that look acceptable at the headline level but are being eroded by discounting, freight absorption and rebate creep that has been tolerated because the owner was focused on revenue. Buyers recalculate margin at volume and it rarely improves.
Revenue that is concentrated in relationships the owner holds personally. Customer contracts that are verbal or informal. Pricing that will change when new ownership removes the trust relationship.
Stock buffers, slow debtors and creditor cycles that are consuming more cash than the P&L reflects. The working capital peg is set at completion — businesses that improve their working capital position before that point keep more net proceeds.
A business where the owner makes the pricing decisions, manages the key accounts and leads the operational team. Buyers pay less for businesses that require the seller to stay. Building management depth before a process starts protects valuation.
Financials that are accurate but not diligence-ready. Missing segment reporting, unexplained EBITDA movements, or inventory and receivables that cannot be aged and explained clearly. Diligence friction always leads to price chips.
Businesses without operating systems, reporting cadence or management accountability structures look high-risk to buyers. Commercial visibility — clean pipeline data, margin by customer, working capital trends — builds buyer confidence.

The decisions that protect or destroy valuation are made in the 12 to 36 months before a transaction — not during the process itself. By the time diligence begins, the issues that will be tested are already embedded in the business.

Buyers apply a multiple to normalised, defensible earnings — not to reported EBITDA. If earnings include one-off items, owner-related costs, or non-recurring revenue that cannot be sustained post-sale, the buyer will adjust them down. A business with high-quality, recurring EBITDA commands a higher multiple than one with fragile or unclear earnings. The difference in valuation terms is often material.
If the business’s revenue, relationships or operational performance depend on the owner personally, buyers will discount the purchase price or impose earn-out structures to protect against value loss after the owner exits. Reducing owner dependency before a sale process increases buyer confidence and supports a higher, cleaner valuation. This is one of the most consistent value creation levers available to founders before sale.
